Osmo Electrical Ltd — Standard Terms & Conditions of Trading
Company No. 17264944 · Registered Office: 15 Hawthorn Road, Barry, CF62 6LE
Last updated: 9 October 2026 · Effective from: 9 October 2026
1.1 "Company", "we", "us" and "our" means Osmo Electrical Ltd, a company registered in England and Wales under company number 17264944, whose registered office is at 15 Hawthorn Road, Barry, CF62 6LE.
1.2 "Client", "you" and "your" means the person, firm or company for whom the Works are carried out.
1.3 "Consumer" means a Client who is an individual acting wholly or mainly outside their trade, business, craft or profession, as defined in the Consumer Rights Act 2015.
1.4 "Works" means the electrical installation, EV charge point installation, and associated works described in the applicable Quotation.
1.5 "Quotation" means the written estimate of cost issued by the Company for the Works, whether described as a quote, estimate or proposal.
1.6 "Contract" means the agreement formed between the Company and the Client on the terms set out in these Terms & Conditions and the applicable Quotation.
1.7 "DNO" means the Distribution Network Operator responsible for the electricity network serving the site.
1.8 "Grant Scheme" means any UK government electric vehicle chargepoint grant scheme in force at the time of the Works, however then named or administered.
1.9 References to statutes include any amendment, re-enactment or replacement of that statute from time to time in force.
2.1 Quotations are prepared on the basis of the visible and reasonably accessible conditions observed at the time of the initial survey, and on information provided by the Client. They do not account for defects, non-compliance, or conditions that are concealed, inaccessible, or only discovered once work has begun — including but not limited to under-rated or degraded existing cabling, non-compliant or absent earthing/bonding, an inadequate main protective device or supply fuse rating, or damaged containment hidden behind finishes.
2.2 Where such conditions are discovered, the Company will stop work on the affected element, notify the Client in writing (including by WhatsApp, email or text) with a description of the issue and a proposed cost, and will not proceed with the additional work until the Client has given written acceptance. Time spent on affected elements up to the point of discovery remains chargeable.
2.3 Quotations are valid for 30 days from the date of issue. The Company reserves the right to review pricing where the cost of electrical materials or equipment increases materially between quotation and acceptance, and will notify the Client of any revised price before proceeding.
2.4 Written acceptance of a Quotation — including by email reply, signature, or acceptance through the Company's online booking system — constitutes a binding Contract on these Terms & Conditions, subject to Section 8 (Cancellation Rights) where applicable.
3.1 The Client shall provide safe, unrestricted access to the site, the working area, mains electricity supply, and water (where required) for the full duration of the Works, at the times agreed with the Company.
3.2 The working area must be cleared of furniture, vehicles, personal belongings and hazards before the Company's arrival. The Company is not liable for accidental damage to items left in or obstructing the working area that a reasonable prior request to clear would have avoided.
3.3 The Client shall disclose, prior to acceptance of the Quotation, any known defects, alterations, or non-standard features of the existing electrical installation, and any relevant planning, listed building, or leasehold consent requirements affecting the Works.
3.4 Where the site is not solely occupied by the Client (e.g. rented property, shared driveway, managed development), the Client confirms they have obtained any necessary consent from the landlord, freeholder, or management company prior to booking.
4.1 Any addition, alteration or variation to the agreed scope requested by the Client after acceptance of the Quotation will be confirmed in writing before being carried out, and charged at the Company's standard hourly or day rate then in force, plus materials.
4.2 Unless expressly stated in the Quotation, the price does not include making good, structural repair, or reinstatement of finishes disturbed by standard cable chasing, floorboard lifting, or cable routing (see Section 6).
4.3 Where discovery of a condition described in Clause 2.1 or Section 5 requires work outside the original scope, this is treated as a variation under this Section and priced accordingly.
5.1 Existing supply: The Quotation assumes the property's existing electrical supply is of adequate rating and condition to support the additional load of the Works. Where inspection shows the supply to be inadequate, non-standard, or requiring network operator intervention, this falls outside the original scope and will be quoted as a variation.
5.2 Network operator notification and timescales: Where the Works require notification to, or approval from, the DNO, the Company will submit this notification but has no control over the DNO's response or works timescales. The Company is not liable for any delay, cost, or loss arising from DNO processing times, refusal, or requirement for network reinforcement, and reserves the right to reschedule installation until DNO approval (where required) is received.
5.3 Smart charger connectivity: The Company will install and commission the charge point in accordance with the manufacturer's instructions and will verify connectivity at the point of handover. The Company does not guarantee ongoing Wi-Fi, mobile data, or app connectivity following handover, as this depends on the Client's home network, internet service provider, device settings, and the charger manufacturer's own servers, app, and firmware — none of which are within the Company's control.
5.4 Grant funding: Where a Client's installation is intended to be funded in whole or part by a Grant Scheme, the Company will not commence installation before receiving the required written grant approval. The Client remains liable for the full invoice value regardless of grant outcome; if a grant is subsequently delayed, reduced, or refused for reasons outside the Company's control (including issues with the Client's own application or eligibility), the grant amount is treated as a reimbursement paid to the Company once received, and does not reduce the Client's primary payment obligation under Section 7.
5.5 Vehicle compatibility: The Client is responsible for confirming their vehicle's charging specification and compatibility with the selected charge point prior to installation. The Company is not liable for charging performance limitations arising from the vehicle's own on-board charger or battery management system.
6.1 Unless expressly itemised and priced in the Quotation, the following are excluded from the Works: plastering or re-plastering, decoration or redecoration, and lifting, cutting, or reinstatement of carpets, laminate, tiled or other finished flooring.
6.2 Where cable chasing, drilling, or floorboard lifting is required, the Company will leave the affected area in a safe, reasonable "trade finish" condition (e.g. channels roughly filled, boards replaced but not necessarily refinished) — this is not a decorative finish, and further making good is the Client's responsibility unless separately agreed and quoted in writing.
6.3 Where flooring must be lifted to route cables and the Client wishes the Company to do so, the Client accepts this is undertaken at the Client's risk in respect of flooring that is old, brittle, adhered, or otherwise likely to be damaged on lifting, and the Company's liability is limited to a lack of reasonable care, not to the condition of the material itself.
7.1 Payment is due in full on completion of the Works, by card or bank transfer, unless alternative staged-payment terms have been agreed with the Client in writing prior to commencement. Time for payment is of the essence.
7.2 For major works or where bespoke materials must be pre-ordered (including named EV chargers), a non-refundable deposit may be required before the Company commits to purchase, as stated in the Quotation. This deposit secures the Company's costs already incurred and is separate from, and not affected by, the Client's statutory cancellation rights under Section 8, save that no deposit will be spent on non-recoverable costs during the statutory cancellation period without the Client's express request to begin early, per Clause 8.4.
7.3 Reservation of title — unfixed materials: Title to any goods, materials or equipment supplied by the Company remains with the Company until payment in full has cleared. Until then, the Client holds such goods, while still unfixed and capable of removal without damage to the property, as bailee, and the Company may recover them without liability for doing so.
7.4 Fixed installations: Once a consumer unit, charge point, cabling or other equipment has been permanently fixed to the property as part of the Works, it becomes a fixture of the property in law and Clause 7.3 no longer applies to it. In the event of non-payment for completed and fixed Works, the Company's remedy is to pursue the debt (including via the interest and recovery provisions of Clause 7.5, statutory demand, or the small claims track), not to remove fixed equipment.
7.5 Late payment — consumers: Where the Client is a Consumer, overdue invoices will accrue interest at 8% per annum above the Bank of England base rate from time to time in force, calculated daily from the due date until payment, together with the Company's reasonable administrative costs of recovery. This clause does not apply, and interest will not be charged, where doing so would render these Terms unfair under the Consumer Rights Act 2015.
7.6 Late payment — business clients: Where the Client is contracting in the course of a business, overdue invoices will accrue statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
7.7 Late cancellation: Where the Client cancels or postpones a booked appointment with less than 24 hours' notice before the Company is due to attend site, any deposit paid is non-refundable and may be retained in full to cover materials ordered, time reserved, and the lost opportunity to fill that slot with other work. This Clause does not affect, and is subject to, the Client's statutory cancellation rights as a Consumer under Section 8, where those rights apply.
8.1 Where the Contract is agreed away from the Company's registered place of business (including at the Client's home, by phone, or online) and the Client is a Consumer, the Contract is an "off-premises contract" under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 ("CCRs").
8.2 The Client has the right to cancel the Contract within 14 calendar days of the date the Contract is entered into (the "Cancellation Period"), without giving any reason, by clearly informing the Company in writing (letter, email, or by using the cancellation form supplied). A Model Cancellation Form and full cancellation notice will be provided to the Client, in a durable medium, before or at the point the Contract is formed.
8.3 If the Client cancels within the Cancellation Period before any Works have started, the Company will refund any deposit paid within 14 days of being notified of cancellation.
8.4 Client's express request to begin early: The Client may expressly request, in writing (including by ticking a box or signing a written statement to that effect), that the Company begin the Works before the 14-day Cancellation Period has expired. Where this request is made:
8.5 Without an express request under Clause 8.4, the Company will not commence installation work (as opposed to survey, design, or ordering long-lead materials) until the 14-day Cancellation Period has expired or been waived in writing.
8.6 This Section 8 does not apply where the Contract is agreed at the Company's registered business premises, or where the Client is contracting as a business rather than as a Consumer.
9.1 The Company will use reasonable endeavours to carry out the Works on the dates agreed, but all dates are estimates only. The Company shall not be liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including but not limited to: adverse weather; DNO action, inaction, or network constraints; delay by wholesalers, distributors or manufacturers in supplying materials or equipment; illness or injury of Company personnel; and any change in law or regulatory requirement.
9.2 Where such an event delays the Works by more than 14 days, either party may agree a revised programme in writing, or the Client may cancel the affected (uncompleted) part of the Works without penalty, subject to payment for Works and materials already properly supplied.
10.1 In properties built or last significantly altered before 2000, existing wiring, consumer units, or associated fabric may contain asbestos-containing materials (ACMs). If the Company reasonably suspects the presence of ACMs, work on the affected area will stop immediately and the Client will be notified. The Company will not resume work on the affected area until a suitable specialist survey and, if necessary, safe removal has been carried out, and any resulting delay or additional cost is treated as a variation under Section 4 and is not the Company's responsibility.
11.1 Electrical Installation Certificates (EIC), Minor Electrical Installation Works Certificates (MEIWC), or Electrical Installation Condition Reports (EICR) will be issued on completion of testing and verification, and the certificate document itself will be withheld pending receipt of payment in full in accordance with Section 7. This does not affect the Company's separate statutory duty to notify Building Control, or the DNO, of any genuine safety issue identified during the Works, which will be actioned regardless of payment status.
11.2 Where applicable, notifiable Works will be notified to Building Control via the Company's competent person scheme (NAPIT membership no. 85014). A Building Control compliance certificate will follow via the scheme provider in the usual course once notified.
11.3 All Works are carried out in accordance with BS 7671 (IET Wiring Regulations), as amended, in force at the date of the Works.
12.1 Workmanship carried out by the Company is guaranteed for 12 months from the date of installation against faults in workmanship, subject to Clause 12.2.
12.2 The workmanship guarantee does not cover, and the Company is not liable for: damage or faults arising from third-party work carried out after installation; misuse, neglect, or unauthorised modification of the installation; normal wear and tear; or faults arising from a pre-existing condition of the installation that was outside the Company's scope of works.
12.3 Materials, fittings, consumer units, and EV chargers carry their respective manufacturers' warranties. The Company is not liable for defects in manufactured components themselves, but will provide reasonable assistance to the Client in pursuing a manufacturer warranty claim.
13.1 Nothing in these Terms excludes or limits the Company's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be excluded or limited.
13.2 Subject to Clause 13.1, the Company's total liability to the Client arising out of or in connection with the Contract, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of (a) the total price paid under the relevant Quotation, or (b) the limit of the Company's public liability insurance cover in force at the relevant time.
13.3 Subject to Clause 13.1, the Company shall not be liable for any indirect or consequential loss, including loss of income, loss of use of a vehicle, or spoilage of refrigerated or frozen goods during a scheduled supply interruption that the Client was notified of in advance.
13.4 The Company holds public liability insurance of not less than £2,000,000 and professional indemnity insurance of not less than £500,000, appropriate to its trade; evidence of current cover is available to the Client on request.
14.1 With the Client's consent, the Company may photograph completed installations for use in its marketing, including its website and social media. Photographs will not identify the Client's name or exact address without separate express consent, and the Client may withdraw consent at any time by notifying the Company.
14.2 Personal data provided by the Client is processed solely for the purposes of quoting, carrying out, invoicing, and certifying the Works, and for statutory record-keeping, in accordance with the Company's Privacy Policy.
15.1 The Company may engage suitably qualified and insured subcontractors to carry out all or part of the Works, particularly to maintain agreed timescales. The Company remains responsible for compliance of the Works with these Terms and with BS 7671 regardless of whether a subcontractor is engaged.
16.1 Entire agreement: These Terms & Conditions, together with the applicable Quotation, constitute the entire agreement between the parties and supersede all prior discussions, representations or agreements relating to the Works.
16.2 Severability: If any provision of these Terms is found by a court or other authority to be invalid or unenforceable, that provision shall be treated as removed to the minimum extent necessary, and the remaining provisions shall continue in full force.
16.3 Assignment: The Client may not assign or transfer the benefit of the Contract without the Company's prior written consent. The Company may assign its rights and obligations to a successor business.
16.4 Third parties: A person who is not a party to the Contract has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of it.
16.5 Governing law & jurisdiction: This Contract, and any dispute or claim arising out of or in connection with it, is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.
